1. AGREEMENT. This Finance Agreement (this "Agreement"), is made and entered into as of the Effective Date, by and among (Purchaser) and ("Seller"). Each of Purchaser and Seller shall be referred to herein as "Purchaser, Seller" respectively and collectively as the "Parties."

2. PURCHASE PRICE. Purchaser hereby agrees to purchase the Device from Seller for the Purchase Price, which shall be payable to Seller by Purchaser within 10 days after signing the agreement.

3. RETURNS. Medical devices purchased are not eligible for returns.
